1. Introduction

These terms outline your usage of Advix’s services. Acceptance of these terms is a prerequisite for using our services. If you disagree with any part of the terms, please do not use our services.

2. Privacy and Data Protection

We prioritise your privacy and take data protection seriously. We adhere to the General Data Protection Regulation (GDPR), Markets in Crypto-Assets Regulation (MiCA), and UAE data protection laws, including Federal Law No. 2 of 2019 on the Use of Information and Communication Technology in Healthcare and Federal Decree-Law No. 45 of 2021 on Protection of Personal Data.

We handle your personal data with utmost care and only for providing and enhancing our services. We implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk, such as encryption, access controls, and regular security testing. Personal data we may collect includes contact information, project details, and any other information necessary to deliver our services effectively. We retain personal data only for as long as necessary for the purposes for which it was collected, unless a longer retention period is required or permitted by law.

If we need to transfer personal data outside the UAE, we ensure appropriate safeguards are in place, such as standard contractual clauses or binding corporate rules, to maintain adequate protection.

You have the right to access, rectify, erase, restrict, or object to the processing of your personal data, as well as the right to data portability, in accordance with applicable laws. For clients engaging our services related to crypto-assets, we implement stringent security measures to protect your crypto-assets data, including multi-factor authentication, cold storage, and regular audits. 3. Services Description

Advix specialises in delivering bespoke advice and insights in business strategy, technology innovations, and market dynamics. Specific details of the services provided will be outlined in the respective service agreements for each project.

4. User Obligations

As a user, you agree to: Provide honest and accurate information. Use our services for lawful purposes and in a responsible manner, complying with all applicable laws and regulations, including data protection laws. Respect our intellectual property rights and those of third parties. Not misuse, disclose, or share any personal data or confidential information obtained through our services, except as permitted by applicable laws or with the explicit consent of the data subjects. Cooperate with Advix in ensuring compliance with data protection regulations, such as providing necessary information for data protection impact assessments or responding to data subject requests. Implement appropriate technical and organisational measures to protect personal data processed through our services, including but not limited to access controls, encryption, and regular security testing. Promptly notify Advix of any known or suspected data breaches or violations of data protection laws related to the use of our services. Obtain necessary consents and provide relevant privacy notices to data subjects before sharing their personal data with Advix for processing. Failure to comply with these obligations may result in suspension or termination of services, and potential legal action in case of violations of applicable laws or regulations.

By using our services, you acknowledge and agree to indemnify and hold Advix harmless from any claims, losses, or damages arising from your non-compliance with data protection laws or misuse of personal data.

5. Intellectual Property

All content and materials provided through Advix's services, including but not limited to reports, strategic advice, and analyses, remain the sole intellectual property of Advix and are provided for your personal, non-commercial use within the context of the services rendered.

With respect to data ownership, the following applies:

  • Your Data: Any personal data, confidential information, or proprietary data provided by you or collected from you in the course of our services remains your property. Advix does not claim ownership over your data and will only process it as necessary for the provision of services and in accordance with applicable laws and regulations.
  • Advix Data: All data, models, algorithms, and other intellectual property developed by Advix independently or through the provision of services remains the exclusive property of Advix.
  • Derivative Works: In cases where Advix creates derivative works based on your data as part of our services, such as analyses, reports, or recommendations, the intellectual property rights over these derivative works remain with Advix. However, you retain ownership of the underlying data used to create these derivative works.

You agree not to reproduce, distribute, or make unauthorised use of Advix's intellectual property or derivative works without prior written consent. Advix will take reasonable steps to protect the confidentiality of your data and will not disclose it to third parties unless required by law or with your explicit consent.

Upon termination of services or upon your request, Advix will return or securely destroy your data in our possession, unless retention is required by law or agreed upon in writing.

6. Payment Terms

The fees for our services are specified in individual agreements with our clients. Payment is due within 30 days of the invoice date, unless stated otherwise in your specific agreement.

For clients engaging our services related to crypto-assets, the following payment terms apply:

  • Fiat Currency Payments: Payments in fiat currencies (e.g., AED, USD, EUR) should be made through bank transfer or other accepted payment methods as specified in your agreement.
  • Crypto-Asset Payments: Advix accepts select crypto-assets for payment, subject to our internal policies and compliance with applicable regulations, including MiCA. The accepted crypto-assets, exchange rates, and payment procedures will be outlined in your agreement or communicated to you separately.
  • Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) Compliance: For crypto-asset payments, Advix will conduct necessary due diligence and compliance checks in accordance with AML and CTF regulations, including obtaining information about the source of funds and performing risk assessments.
  • Custody and Storage: Any crypto-assets received as payment will be held in secure, insured, and regulated custody solutions, with appropriate safeguards and segregation of client assets.
  • Refunds and Reversals: Refunds or reversals of crypto-asset payments may be subject to additional processing fees or network transaction costs, which will be deducted from the refunded amount.

Advix reserves the right to refuse or suspend services if we cannot reasonably comply with applicable regulations or if there are concerns regarding the legitimacy or source of funds.

7. Cancellation and Termination

You can cancel your service agreement in accordance with the terms specified within that agreement. Advix reserves the right to terminate or suspend services if you breach these terms.

8. Limitation of Liability

Advix aims to provide high-quality services; however, the ultimate responsibility for decisions made based on our input lies with you. Advix is not liable for any direct, indirect, incidental, special, or consequential loss or damage arising from your decisions.

Regarding data protection and compliance with applicable regulations, the following limitations apply:

  • Regulatory Compliance: While Advix makes reasonable efforts to comply with relevant laws and regulations, including GDPR, MiCA, and UAE data protection laws, we cannot guarantee absolute compliance due to the evolving nature of these regulations and their interpretations.
  • Data Breaches and Unauthorized Access: Advix will implement industry-standard security measures to protect your data; however, we cannot be held liable for any data breaches, unauthorized access, or loss of data resulting from circumstances beyond our reasonable control, such as cyber-attacks, force majeure events, or third-party actions.
  • Lawful Data Processing: Advix will process your data in accordance with applicable laws and regulations, as well as the terms of our agreement. However, we shall not be liable for any claims, losses, or damages arising from the lawful processing of your data as required or permitted by law.
  • Compliance with Legal Obligations: In the event of a conflict between our contractual obligations and legal requirements, Advix reserves the right to comply with applicable laws and regulations, and shall not be held liable for any resulting limitations or suspensions of service.
  • Limitations of Liability: To the maximum extent permitted by applicable law, Advix's total liability for any claims arising from or related to these Terms of Service or the services provided shall not exceed the total fees paid by you to Advix for the services in question during the twelve (12) month period preceding the event giving rise to such liability.

This Limitation of Liability section shall not apply to cases of willful misconduct, gross negligence, or bodily injury caused by Advix.

9. Changes to Terms

Advix may update these Terms of Service periodically to reflect changes in our business practices, legal requirements, or regulatory landscape. The most current version will always be available on our website at advix.com/terms.

By continuing to use our services after changes to these Terms are published, you agree to be bound by the revised terms. If you do not agree with the updated terms, you must discontinue using our services.

For any material changes that directly impact data protection, compliance requirements, or your rights and obligations under these Terms, Advix will provide advance notice through email or other appropriate communication channels. The notice will outline the specific changes and their effective date, allowing you a reasonable period to review and consent to the revised terms.

Changes related to data protection or compliance with regulations, such as GDPR, MiCA, or UAE data protection laws, may require your explicit consent or additional actions to ensure continued compliance. Advix will communicate such requirements clearly, and failure to provide the necessary consent or take the required actions may result in the suspension or termination of services.

If you have any concerns or objections regarding the proposed changes, please contact us at legal@advix.com within 30 days of receiving the notice. We will make reasonable efforts to address your concerns or provide alternative solutions.

It is your responsibility to review the Terms of Service periodically and stay informed about any updates or changes. Continued use of our services after the effective date of any changes will constitute your acceptance of the revised terms.

10. Governing Law

These Terms of Service and any disputes arising from or relating to the use of Advix's services shall be governed by and construed in accordance with the laws of the United Arab Emirates, including but not limited to: Federal Law No. 2 of 2019 on the Use of Information and Communication Technology in Healthcare Federal Decree-Law No. 45 of 2021 on Protection of Personal Data Relevant regulations and decisions issued by the UAE Data Office For matters related to data protection and privacy, the EU General Data Protection Regulation (GDPR) and any applicable international treaties or agreements ratified by the UAE shall also apply.

In the event of any conflict between these Terms and the applicable laws or regulations, the laws and regulations shall prevail.

Furthermore, in the context of crypto-assets and related services, these Terms shall be subject to the Markets in Crypto-Assets Regulation (MiCA) and any other relevant regulations issued by the UAE Securities and Commodities Authority (SCA) or other competent authorities.

Any disputes arising out of or in connection with these Terms or the use of Advix's services that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of the Emirate of Dubai, UAE, unless otherwise required by applicable laws or regulations.

Advix reserves the right to modify or update this Governing Law section to comply with any changes or amendments to the relevant laws, regulations, or international agreements applicable to our operations and services
